Jeff Michel - CEO and Chairman
Jeffrey W. Michel is married with two young children and has been a
resident of Florida for seventeen years. Mr. Michel was Honorably
discharged from the U.S. Coast Guard after a successful tour of duty
in the field of Drug Interdiction and Border Control. Mr. Michel was
then recruited into the Retail Investment Banking field to apply his
expertise and determination to a new regional firm that specialized
in small caps, new market entrants, and start-ups. He has over
twenty years of corporate experience including more than a decade
working for various small cap retail broker / dealer firms, at the
senior corporate level, specializing in business development,
compliance, and cost containment. His underwriting experience ranges
in complexity from straight equity financings, IPO’s, PIPEs, debt,
RTO’s, and convertible debt to M&A arrangements.
Mr. Michel currently is the Managing Director of
Southwood Partners Ltd. where he consults to public and private
companies on debt restructuring, public market management, investor
relations, DTC analysis, strategic partnerships, and corporate
governance.
Mr. Michel has obtained Professional Licenses-
NASD Registered Representative Series 7, 24, 4 and 63.
Scott Sparks, Non Executive Director of
Finance
Mr. Sparks is currently the Revenue and Budget Coordinator for the
City of Fredericton, capital of New Brunswick, Canada. He is also a
Councilor for the Village of New Maryland, a suburb community of
Fredericton, and is the Chair of Finance, Administration and Policy
for the Village of New Maryland. He is also the Co-Chair of
Transportation and Protective Services for the Village of New
Maryland, and a Founding member of the New Maryland Community
Support Group Inc. - a Non-Profit Organization listed with Charities
Canada that has as its mandate:
To establish, receive and maintain a fund or
funds and apply from time to time all or part thereof and/or the
income there from in order to enhance the corporate Village
environment and Village amenities for the benefit of all who dwell
in or visit New Maryland, and

to enhance the Village of New Maryland
transportation and protective services

to enhance the Village of New Maryland
recreation opportunities
-
to enhance and to protect the environment for
the residents of the Village of New Maryland

to enhance community services for the
residents of the Village of New Maryland

to promote and provide education to the
residents of the Village of New Maryland

to enhance all other projects deemed to
improve the amenities of New Maryland
Mr. Sparks is also Commissioner on the Board of
the Fredericton Region Solid Waste Commission.
Lorne Amos, PFP, Secretary
A native of New Brunswick, whom has worked in the Financial Services
sector for over 15 years, currently resides in Fredericton and works
as a Financial Planner for York Financial Services Ltd., having
obtained the Professional Financial Planning designation. Married
for 18 years with 2 children, Lorne has managed portfolios, acted as
agent for executor, advised a number of small start-up businesses
and is currently advising two small businesses, along with operating
his own Financial Planning business. Mr. Amos’s corporate trust
experience also includes working on the IPO for Emera ( formerly NS
Power) as well as several bond issues, and supervision of 15 staff.
Mr. Amos has also served on several church and
non-profit boards, budget committees and personnel search
committees, with varying responsibilities, has developed leadership
training courses, done a lot of public speaking and is very
community oriented. Recently, he has assisted several entrepreneurs
with product development, patenting, marketing and trade marking.
Jonathan Harrison, Non- Executive
Director
Jonathan is currently the Finance Director for AIM listed Sirius
Exploration and privately held Crystal River Resources Ltd. He is a
Chartered Accountant with experience in quoted and unquoted
companies.
Previously Jonathan spent 16 years at
Intercontinental Hotels Corporation, where he held various
positions, including Vice President of Finance. In 1989, he joined
Boddington Group plc (“Boddington”), where he developed and became
Operations Director of the Village Leisure Hotels division,
responsible for the operation of six leisure hotels. Between
February 1994 and September 1995, while still at the Boddington, he
was Finance Director of Country House Retirement Homes Limited
during which time the number of nursing homes nearly doubled to 31
nursing homes. In March 1997, he led a management buy-in of 25
hotels from Queens Moat Houses plc with Duke Street Capital. Six
months later he managed the refinancing of the new group, County
Hotels Group plc, through a listed bond offering and, in January
1999, successfully sold the company to Regal Hotel Group plc. In
September 1999, he joined Topnotch Health Clubs plc and in March
2000 oversaw the company’s admission to AIM.
The Company will continue to seek strong
personnel that will contribute value oriented services and bring
